These Terms and Conditions ("Terms") govern your access to and use of the Nellie Health education website and learning platform hosted on LearnWorlds (the "Website" and "Services"). These Terms apply between you ("you," "User," or "Learner") and Nellie Health Inc. ("Nellie Health," "we," "us," or "our").By accessing, browsing, registering for, or purchasing any course, program, or service through the Website, you agree to be bound by these Terms. If you do not agree, you must not use the Website or Services.
In this Agreement the following terms shall have the following meanings:
Account: The personal and login information used to access the Services.
Content: All materials made available on the Website or learning platform, including text, video, audio, graphics, documents, and course materials.
Facilities / Services: Online education, training programs, certifications, consultations, and related learning services provided by Nellie Health through LearnWorlds.
Payment Information: Billing details required to purchase Services, processed by third-party payment providers.
System: Any online communications or learning infrastructure that made available through the Website.
Website: education.nelliehealth.com and any associated subdomains.
We / Us / Our: Nellie Health Inc., an Ontario corporation, Canada.
You must be at least 18 years of age to create an Account or purchase Services. By using the Website, you represent that you have the legal capacity to enter into a binding agreement under the laws of Ontario, Canada.
These Terms apply to individuals and to organizations purchasing Services on behalf of learners. Where an organization purchases access, the organization is the "Client" and the enrolled individual is the "Learner." Learners remain bound by these Terms regardless of who paid for access.
All Content on the Website, unless otherwise stated, is owned by or licensed to Nellie Health and is protected by Canadian and international intellectual property laws.You may access Content solely for your personal, non-commercial educational use. You may not reproduce, distribute, modify, record, share, resell, or exploit any Content without our prior written consent.
Certain materials may be owned by third parties. All such rights are reserved by their respective owners and are protected under applicable law.
When using the Website or any communication features, you agree not to:
- Post unlawful, abusive, defamatory, or discriminatory content;
- Upload confidential, personal, or client-identifying information;
- Impersonate others or misrepresent your identity;
- Use the platform for unsolicited or unauthorized communications.
We reserve the right to monitor, remove content, suspend, or terminate Accounts for violations of these Terms.
You are responsible for maintaining the confidentiality of your Account credentials and for all activity under your Account. You must notify us immediately of any unauthorized access or security breach.
All descriptions of Services are provided in good faith. Prices are listed in the applicable currency and are subject to change prior to purchase. A binding contract is formed only once we confirm your order and payment is successfully processed.
Access to digital courses is generally provided immediately or on the start date indicated. We will use reasonable skill and care in delivering the Services but do not guarantee uninterrupted access.
- 10.1 General Policy
All sales are final unless otherwise stated in these Terms or in specific course terms.
Due to the nature of digital educational content:
Asynchronous courses are non-refundable once access is granted.
Live courses or events are non-refundable once the first session begins or materials are released.
- 10.3 Statutory Rights (Ontario / Canada)Where required by applicable consumer protection laws, cancellation rights may apply only if no digital content has been accessed. Once access is granted, statutory cancellation rights are waived to the extent permitted by law.
- 10.4 Live Course Cancellations
- 14+ days before start: Refund less a non-refundable $50 CAD administrative fee.
7–13 days before start: 50% refund.
Less than 7 days: No refund.
No-shows: No refund or credit.
10.5 Consultations and Programs1:1 sessions cancelled with 48+ hours’ notice may be rescheduled.1:1 sessions less than 48 hours’ notice: Session forfeited.Group consultation cancelled less than 7 days prior to the start of all group sessions, no refund. Must attend 18 of 20 sessions to be considered for completion. No refund if the attendee completes less than 18 sessions or does not pass. Programs already underway are non-refundable.10.6 Cancellations by Nellie Health
If we cancel a course or program, you will receive a full or prorated refund or the option to transfer to a future session.
10.7 Refund Processing
Approved refunds are issued to the original payment method within 10 business days. Administrative fees are non-refundable.
Your use of the Website is governed by our Privacy Policy, which forms part of these Terms. We comply with
PIPEDA, applicable Ontario privacy laws, and
CASL. LearnWorlds and Stripe act as service providers processing data on our behalf.
You must not upload or share any identifiable client or patient information. This includes names, diagnoses, records, or case details. Violations may result in immediate termination of access.
All training and content are provided for educational and informational purposes only. They do not constitute psychotherapy, clinical supervision, legal advice, or professional services. Participation does not create a therapist-client or supervisory relationship.
The Website and Services are provided on an “as is” and “as available” basis. We do not guarantee uninterrupted access and are not responsible for outages caused by third-party platforms, including LearnWorlds or Stripe.
To the maximum extent permitted under Ontario and Canadian law:We are not liable for indirect, incidental, or consequential damages.Our total liability shall not exceed the amount paid by you for Services in the twelve (12) months preceding the claim.Nothing limits liability that cannot be excluded by law, including liability for fraud or gross negligence.
We may suspend or terminate Accounts for violations of these Terms, misuse of the Services, or legal compliance reasons, with or without notice.
We may update these Terms from time to time. Material changes will be posted on the Website with an updated Effective Date. Continued use constitutes acceptance.
You consent to receive electronic communications related to your Account and Services. Transactional emails are required and cannot be opted out of.
These Terms are between you and Nellie Health only. No third party has rights under these Terms.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts of Ontario, Canada.
